July 20 Key Date for DuPont/Dow Merger

Their special shareholder meetings are scheduled to begin simultaneously at 10 a.m. in Wilmington, Del., and Midland, Mich.

DuPont and Dow announced June 10 that both companies will hold special meetings of their stockholders on July 20 in order to vote on their proposed merger. They reported that the registration statement on Form S-4 filed with the U.S. Securities and Exchange Commission by DowDuPont Inc. on March 1, 2016, as amended, was declared effective on June 9; it includes a joint proxy statement of Dow and DuPont and a prospectus of DowDuPont. They intend to split the combined companies into three independent, publicly traded units once what they call the "merger of equals" is accomplished.

The two meetings are:

  • DuPont's meeting will start at 10 a.m. and take place at 974 Centre Road, Chestnut Run Plaza Building 730, Wilmington, Del.
  • Dow's meeting will start at 10 a.m. and take place at the Employee Development Center, Dow Corporate Center, Midland, Mich.

Common stock shareholders of record as of the close of business on June 2, 2016, are entitled to vote at the meetings; they will receive the joint proxy statement/prospectus, which is now being mailed.
